Medolution Healthcare Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 183-P Ground Floor – B, Sector 52, Gurugram, Haryana – 122003, India (“Company”, “Dr. SaHaab”, “we”, “us”, “our”), owns and operates the website www.drsahaab.com and its associated mobile application (collectively, the “Platform”). These Terms and Conditions (“Terms”), read with our Privacy Policy and Cancellation and Refund Policy, govern access to and use of the Platform by any person (“User”, “you”, “your”).

BY ACCESSING, BROWSING, REGISTERING ON, OR USING THE PLATFORM IN ANY MANNER — INCLUDING BOOKING A TEST, UPLOADING A REPORT, OR OPTING FOR A CONSULTATION — YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE OF THE PLATFORM IMMEDIATELY.

1. Definitions

• Platform: the website www.drsahaab.com, its mobile application, and any allied digital properties owned or operated by the Company.
• Services: the diagnostic test aggregation, home sample collection facilitation, doctor consultation facilitation, AI-assisted report interpretation, and related informational services made available through the Platform.
• Service Provider(s): independent, third-party NABL/ICMR/CAP-accredited diagnostic laboratories, collection centres, phlebotomists, and other partners who actually perform the diagnostic tests and sample collection booked through the Platform.
• Health Care Professional (HCP): any doctor, nurse, paramedical staff, phlebotomist, or other person registered with the relevant Union or State regulatory/licensing body who renders services in connection with the Platform.
• User Content: any prescription, pathology report, medical record, image, or other information or file a User uploads to, or submits through, the Platform.
• AI Interpretation: the automated, machine-generated explanation of an uploaded pathology or diagnostic report offered free of charge through the “AI Report” feature, which may or may not be reviewed by a human before or after delivery.

2. Eligibility and Account

1. You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to create an account or make a booking on your own behalf. Bookings for a minor or dependent may only be made by their parent, legal guardian, or authorised caretaker, who accepts these Terms on the minor's behalf and is solely responsible for the accuracy of the information provided.
2. You are responsible for maintaining the confidentiality of your login credentials (including OTP-based or third-party sign-in) and for all activities that occur under your account. You must notify us immediately of any unauthorised use. We are not responsible for any misinformation provided by the Customer/Client/Patients.
3. You agree to provide accurate, current, and complete information at the time of registration and booking, including name, age, gender, contact details, and address, as inaccurate information may affect sample collection, report delivery, or medical interpretation.

3. Nature of the Platform — Intermediary Only

Dr. SaHaab is a online marketplace and intermediary/Aggregator within the meaning of Section 2(1)(w) of the Information Technology Act, 2000. We enable Users to discover, compare, and book diagnostic tests and packages offered by independent, third-party Service Providers. Except where expressly stated, the Company:

1. Does not itself own, operate, or manage any diagnostic laboratory, collection centre, or pathology facility.
2. Does not employ the phlebotomists, technicians, pathologists, or doctors who render the underlying Services, unless expressly identified as a direct Dr. SaHaab employee, as we operate only as the aggregators for the services provided.
3. Does not perform, supervise, or guarantee the accuracy, methodology, turnaround time, or clinical validity of any test conducted by a Service Provider.
4. Has no principal-agent, employer-employee, or partnership relationship with any Service Provider or HCP; each Service Provider independently contracts with, and is solely responsible to, the User for the Services it renders.

Nothing on the Platform, including any consultation feature, creates a doctor-patient or diagnostic centre-patient relationship with the Company itself. Such relationship, if any, exists solely between the User and the relevant HCP or Service Provider.

4. Bookings, Pricing, and Payments

1. Prices displayed are indicative and may vary by Service Provider, location, and applicable taxes; the final payable amount is confirmed at checkout. Prices, offers, and discounts may change without prior notice and do not apply retroactively to confirmed bookings.
2. A booking is confirmed only upon receipt of a confirmation voucher via message/e-mail/WhatsApp notification from the Company or the relevant Service Provider. An order placed on the Platform does not by itself guarantee sample collection if the Service Provider is unable to service the request.
3. Home visit charges apply as published on the Platform from time to time (currently, a fee of ₹250 applies where the final payable cart value after discounts is below ₹499; visits are free at or above that threshold). This threshold may be revised by the Company at its discretion, with the applicable value being the one displayed at the time of booking.
4. All online payments are processed through third-party, RBI-authorised payment gateways. The Company does not store your full card or banking credentials and is not liable for failures, delays, or errors attributable to the payment gateway, your bank, or your network provider and the company will not be responsible for any misappropriation of any such information.
5. Cash-on-collection, where offered, must be paid directly to the authorised phlebotomist against a valid receipt, any unauthorised amount demanded by the on site HCP or Phlebotomist should be denied instant and be reported to the company proactively.
6. If there is an addition in services a request for a new order confirmation voucher has to be raised by the Customer/Client/Patient with the additional amount.

5. AI-Assisted Report Interpretation — Important Disclaimers

This section applies specifically to the “AI Report” / “Interpret My Report” feature and any similar AI-assisted tool made available on the Platform, whether free or paid.

1. The AI Interpretation is generated using automated, algorithmic, and/or artificial intelligence tools, which may be supplemented by review from a qualified doctor, but such review is not guaranteed for every report unless expressly stated at the time of use.
2. The AI Interpretation is provided strictly for general informational and educational purposes. It is NOT a medical diagnosis, NOT a prescription, and NOT a substitute for examination, diagnosis, or advice by a qualified, registered medical practitioner.
3. The accuracy, completeness, and reliability of the AI Interpretation depends entirely on the quality, legibility, completeness, and authenticity of the report you upload. Illegible, cropped, outdated, or non-genuine reports, or reports not in the supported PDF format, may produce incomplete or incorrect interpretations.
4. Artificial intelligence systems can make errors, omissions, or misclassifications, including failing to flag a critical or abnormal value, or flagging a normal value as abnormal (false positives/negatives). You must not delay seeking medical attention, and must not start, stop, or alter any treatment, based solely on the AI Interpretation.
5. You must independently verify any AI Interpretation with a qualified healthcare professional before relying on it for any health-related decision. The Company, its directors, employees, and affiliated HCPs disclaim all liability for any adverse outcome, delay in diagnosis, or harm arising from reliance on an AI Interpretation without such independent verification.
6. By using this feature, you consent to your uploaded report and associated health information being processed by automated systems, and where applicable, by third-party AI infrastructure providers, strictly for the purpose of generating the interpretation, subject to the Privacy Policy.

6. Doctor Consultation

1. Doctor consultations facilitated through the Platform are provided by independent, duly registered HCPs in accordance with the Telemedicine Practice Guidelines, 2020 and the applicable Code of Ethics Regulations of the Medical Council/National Medical Commission.
2. Consultations are intended to help you understand your report and suggest general next steps. They do not replace an in-person clinical examination where one is medically warranted, and the consulting HCP retains sole clinical discretion, including the right to decline a consultation or advise an in-person visit.
3. The Company is not liable for any clinical opinion, advice, or conduct of any HCP are strictly for report discussion and consultation & are strictly not for diagnosis, prognosis, treatment or any such condition, any grievance regarding a consultation should first be raised with the Company's support team for facilitation, without prejudice to the User's rights against the concerned HCP.

7. Not for Medical Emergencies

The Platform, including its AI Interpretation and consultation features, is NOT intended for use in medical emergencies or life-threatening situations. If you or anyone else is experiencing a medical emergency (including chest pain, breathing difficulty, severe bleeding, loss of consciousness, or suspected stroke/heart attack), call your local emergency number or go to the nearest hospital emergency room immediately. Do not rely on the Platform for emergency care.

8. Home Sample Collection

1. Sample collection is carried out by phlebotomists engaged or empanelled by the relevant Service Provider. While the Company undertakes reasonable diligence in onboarding Service Providers with trained and verified personnel, the Company does not guarantee the conduct, punctuality, or technique of any individual phlebotomist and is not liable for their acts or omissions beyond facilitating a grievance with the concerned Service Provider.
2. You are responsible for providing a safe, accessible, and hygienic location for sample collection and for disclosing any relevant medical conditions (such as bleeding disorders, fainting history, comorbidities, infectious disease status, etc.) in advance.
3. Certain tests require fasting, specific timing, or preparatory instructions, the Company and Service Providers are not responsible for inaccurate results caused by a User's failure to follow such instructions.

9. User Obligations and Code of Conduct

You agree not to, and shall ensure your use of the Platform does not, violate any applicable law, including but not limited to:

1. The Information Technology Act, 2000 and rules made thereunder.
2. The Indian Penal Code, 1860 / Bharatiya Nyaya Sanhita, 2023, as applicable.
3. The Digital Personal Data Protection Act, 2023.
4. The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.
5. Applicable Telemedicine Practice Guidelines and Clinical Establishments regulations.

You further agree not to upload false, fraudulent, or another person's medical records without authorisation; impersonate any person; reverse-engineer, scrape, or misuse the Platform or its AI systems; upload viruses or malicious code; or use the Platform for any unlawful, defamatory, obscene, or fraudulent purpose. Violation entitles the Company to suspend or terminate access and pursue any and all available legal remedies.

10. Intellectual Property

All content on the Platform — including its name, logo, trademarks, design, software, text, graphics, and the underlying AI models and algorithms — is the exclusive property of the Company or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws. No right, title, or licence is granted to you except a limited, revocable, non-transferable licence to access the Platform for personal, non-commercial use. Reports, images, and other User Content remain your property by uploading such content you grant the Company a limited licence to process it solely to provide you the requested Services.

11. Disclaimer of Warranties and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

1. The Platform and all Services (including the AI Interpretation) are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.
2. The Company does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, or that test results, report interpretations, or consultation advice will be complete, accurate, or suitable for any particular purpose.
3. The Company's aggregate liability arising out of or relating to these Terms or use of the Platform, whether in contract, tort, or otherwise, shall not exceed the total amount actually paid by the User to the Company for the specific booking giving rise to the claim in the preceding three (3) months.
4. In no event shall the Company be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profit, loss of data, or personal injury, arising from use of, or inability to use, the Platform, except to the extent such exclusion is prohibited by law or in cases involving the Company's gross negligence or wilful misconduct.
5. Nothing in this clause limits liability for death or personal injury caused by the Company's proven gross negligence, or any liability that cannot be excluded under applicable Indian law.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and affiliated HCPs from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) inaccurate or fraudulent information or User Content provided by you; or (d) any medical decision taken by you based on the AI Interpretation without independent professional verification.

13. Privacy

Our collection, use, storage, and disclosure of your personal and health information is governed by our separate Privacy Policy, available at drsahaab.com/privacy-policy, which forms an integral part of these Terms.

14. Suspension and Termination

The Company may suspend or terminate your access to the Platform, with or without notice, if it reasonably believes you have violated these Terms, engaged in fraudulent activity, or where required by law or regulatory direction. You may close your account at any time by writing to support@drsahaab.com; certain records may be retained thereafter as required under applicable law (see Privacy Policy).

15. Force Majeure

The Company and Service Providers shall not be liable for any delay or failure in performance resulting from causes beyond reasonable control, including acts of God, pandemic, lockdown, strikes, internet or telecom failure, government action, or natural disaster.

16. Governing Law, Mediation, and Arbitration

1. These Terms are governed by the laws of India.
2. Any dispute arising out of or in connection with these Terms shall first be referred to Arbitration with respect to the courts in New Delhi. It shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by the Company, with the seat and venue of arbitration at New Delhi, and the proceedings conducted in English.
3. Subject to the above, the courts at New Delhi/Gurugram shall have exclusive jurisdiction over matters not covered by, or in aid of, the arbitration (such as interim relief), without prejudice to any right you may separately have to approach a consumer forum under the Consumer Protection Act, 2019.

17. Grievance Redressal

In accordance with the Information Technology Act, 2000, the Consumer Protection (E-Commerce) Rules, 2020, and the Digital Personal Data Protection Act, 2023, the Grievance Officer for the Platform is:

The Grievance Officer will acknowledge complaints within 48 hours and endeavour to resolve them within one (1) month from the date of receipt, as prescribed under applicable law.

18. General Provisions

1. Amendment: The Company may revise these Terms at any time by posting the updated version on the Platform with a revised “Last Updated” date. Continued use of the Platform after such changes constitutes acceptance.
2. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
3. Waiber: No failure or delay by the Company in exercising any right under these Terms shall operate as a waiver of that right.
4. Assignment: You may not assign your rights under these Terms; the Company may assign these Terms in connection with a merger, acquisition, or sale of assets.
5. Entire Agreement: These Terms, together with the Privacy Policy and Cancellation and Refund Policy, constitute the entire agreement between you and the Company regarding use of the Platform.
